Job Responsibilities

Manage commercial contracts, including drafting, reviewing, negotiating, and monitoring contractual terms, obligations, and compliance.
Provide legal and commercial advice to business units on contracts, transactions, business initiatives, and other matters to identify and mitigate potential legal risks.
Review and assess contractual terms, commercial arrangements, and business proposals to protect the Company's interests and ensure alignment with applicable laws, regulations, and internal policies.
Handle complex, contentious, and sensitive commercial and legal matters, including legal research, reviews, analysis, and recommendations on appropriate courses of action.
Support contract negotiations with customers, vendors, business partners, and other external stakeholders, including identifying key legal and commercial risks and proposing appropriate solutions.
Partner, liaise, and collaborate with internal and external stakeholders on ad-hoc projects and business initiatives, providing legal advice on risks and opportunities related to business strategies and objectives.
Provide legal risk assessments and practical recommendations to various divisions in relation to commercial activities and day-to-day business operations.
Support a broad range of corporate legal matters, including preparation, review, filing, and maintenance of legal documents and corporate records.
Monitor, research, and review existing, amended, and newly issued laws and regulations relevant to the Company's commercial activities and assess their potential impact on the business.
Support the development and continuous improvement of contract templates, legal guidelines, policies, and procedures to strengthen the Company's commercial and legal framework.
Coordinate and manage legal matters involving external counsel, consultants, government authorities, and other relevant external parties as required.
Maintain proper documentation and records of contracts, legal matters, and other commercial affairs to ensure accuracy, completeness, and proper governance.
Support other legal projects, commercial initiatives, and special assignments as directed by the Corporate Counsel.

Job Requirements

Bachelor's degree in Law.
Minimum 5 years of experience as a Legal Specialist, Legal Staff, or in a similar commercial legal role.
Strong experience in commercial contract drafting, reviewing, negotiation, and contract management.
Strong understanding of commercial law, corporate legal matters, contractual risks, and legal risk assessment.
Experience in shipping, shipyard, logistics, manufacturing, or other related industries is an advantage.
Strong ability to research, interpret, and stay updated on laws and regulations relevant to the Company's business and commercial activities.
Strong analytical, critical-thinking, negotiation, and problem-solving skills with excellent attention to detail.
Excellent communication and stakeholder management skills, with the ability to work effectively with internal and external stakeholders at all organizational levels.
High level of integrity, professionalism, accountability, and discretion in handling sensitive and confidential legal and commercial matters.
Proactive, self-motivated, and able to take initiative while managing multiple priorities and meeting deadlines.
Ability to work effectively both independently and as part of a team in a dynamic and fast-paced environment.
Good working knowledge of Microsoft Office applications.
Fluent in English, both spoken and written.
Strong ability to manage time and deliver high-quality work within required timelines.
Willing to be placed in Kelapa Gading, North Jakarta.
